Terms of engagement
These terms apply to professional services provided by Filespringbase for conversion tracking reviews, merchandising briefings, and related engagements.
Acceptance
By requesting, confirming, or paying for an engagement with Filespringbase (“we”, “us”), you agree to these terms. If you accept on behalf of a company, you confirm you are authorised to bind that company.
Services
We provide professional analysis and advisory services related to e-commerce conversion tracking and merchandising insight. Deliverables, timelines, and fees are set out in the written proposal or confirmation email for each engagement. We do not operate a payment checkout for goods on this website; pricing pages are informational.
Client responsibilities
You will provide timely access to analytics properties, advertising accounts, order exports, and subject-matter contacts required for the work. Delays in access may extend timelines without reducing fees already due for work performed.
Intellectual property
Upon full payment, you receive a licence to use the written findings, decks, and notes we deliver for your internal business purposes. We retain ownership of our methodologies, templates, and pre-existing materials. You may not resell our deliverables as a competing consultancy product.
Confidentiality
Each party will protect the other’s non-public business information and use it only for the engagement, except where disclosure is required by law.
Liability
Our services are advisory. Decisions on assortment, media spend, engineering changes, and commercial strategy remain yours. To the fullest extent permitted by Hong Kong law, our aggregate liability arising from an engagement is limited to the fees paid for that engagement in the three months preceding the claim. We are not liable for indirect or consequential loss, including lost profits or lost data, except where liability cannot be excluded by law.
Governing law
These terms are governed by the laws of Hong Kong. Courts of Hong Kong have exclusive jurisdiction over disputes arising from these terms or our services, without prejudice to any mandatory consumer protections that may apply.
